Indemnity or “hold harmless” provisions are included in a wide variety of contracts.  They can greatly increase or reduce a party’s responsibility for damages, as well as a range of costs and expenses.  You may be asked to review indemnity provisions for clients negotiating business deals or leases, or called in after an event that could trigger an obligation.  

This program will address fundamental issues regarding preparation and interpretation of contractual indemnity provisions.  Topics will include the defense obligation imposed by indemnity provisions, the relationship to insurance requirements, the effect of fault of an indemnitee on the obligations of the indemnitor, and language that may expand indemnity obligations beyond circumstances in which a third-party asserts a claim against an indemnitee.  

There are two kinds of lawyers—those who have wrestled with contractual indemnity issues and those who will.  Join us to learn more about these risk shifting contract terms and the insurance provisions they trigger.
