The Duties of Majority Shareholders and Corporate Boards and the Rights of Minority Shareholders.

This program will examine the duties of corporate boards and majority shareholders and the rights of minority shareholders, primarily in California and Delaware, from a corporate and litigation perspective, in the frequently arising contexts of employment, dividends mergers, access to documents and dissolution among other areas. It will be valuable for transaction lawyers in giving them guidelines and helping them structure agreements to minimize the likelihood of disputes arising and litigators in helping them to resolve such disputes or prevail when they are litigated.
